1. Acceptance of Terms

By creating an account, completing identity verification, and checking the "I agree" box, you enter into a binding agreement with Eyzaguirre.co, LLC ("Company", "we", "us") to be governed by these Terms of Service ("Terms"). If you do not agree, do not use ReasonSpring.

You must explicitly accept these Terms and complete a one-time $0.50 publication verification charge before you may publish content on the platform. Acceptance is tracked with a version identifier and timestamp in your account record.

2. The Service

ReasonSpring provides tools for creating and hosting AI-generated podcasts. You are the content creator and publisher. ReasonSpring is the hosting platform. We provide AI-powered generation tools, audio synthesis, and distribution infrastructure. We do not editorially review, endorse, or assume responsibility for content published by users.

3. Eligibility

You must be at least 13 years old to use ReasonSpring. If you are between 13 and 18, you must have parental or guardian consent. By using the Service, you represent that you have the legal capacity to enter into this agreement in your jurisdiction.

4. Publication Verification

Before publishing content, you must complete identity verification via a one-time $0.50 charge processed through Stripe. This charge serves to verify that a valid payment method is associated with your account, creating an auditable link between your account and a real-world identity. Users who subscribe to a paid plan are automatically verified through their subscription payment.

We retain the verification record (timestamp and method) as part of your account data. We do not store your credit card number; all payment processing is handled by Stripe.

5. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate, current information during registration and keep it updated. You must notify us immediately at [email protected] if you suspect unauthorized access.

6. Content Ownership & License

You retain ownership of the topics, prompts, and creative direction you provide. By publishing content on ReasonSpring, you grant us a non-exclusive, royalty-free, transferable, sub-licensable, worldwide license to host, store, display, reproduce, distribute, and perform your content in connection with operating and promoting the Service. This license continues until you delete your content or account, after which we will remove it within a commercially reasonable timeframe, except as required for legal compliance, backups, or cached copies.

7. Content Responsibility

You are solely responsible for all content you create, direct, and publish using ReasonSpring. When you use our AI tools to generate a podcast, you are the publisher of that content. ReasonSpring does not pre-screen, approve, or endorse user-generated content. You represent and warrant that your content does not violate any third party's rights or any applicable law.

8. Content Moderation

We reserve the right, but have no obligation, to monitor, review, or remove any content at our sole discretion. We may take action against content that violates these Terms, applicable law, or our community standards, including removing content, suspending accounts, or reporting to law enforcement. Our moderation decisions are final and not subject to appeal except as required by law.

9. Prohibited Content

You may not use ReasonSpring to create, publish, or distribute content that:

• Violates any applicable local, state, national, or international law or regulation
• Infringes any copyright, trademark, patent, trade secret, or other intellectual property right
• Contains defamatory, harassing, threatening, or abusive material directed at individuals
• Impersonates any person or entity, or falsely claims affiliation with any person or entity
• Contains malware, viruses, or any code designed to disrupt or damage systems
• Exploits or harms minors in any way
• Promotes violence, terrorism, or self-harm
• Contains non-consensual intimate imagery

10. DMCA & Intellectual Property

We respect intellectual property rights and comply with the Digital Millennium Copyright Act (DMCA). If you believe content on ReasonSpring infringes your copyright, send a DMCA takedown notice to our designated agent:

Your notice must include:

• Identification of the copyrighted work claimed to be infringed
• Identification of the infringing material and its location on the Service
• Your contact information (name, address, phone, email)
• A statement that you have a good-faith belief the use is not authorized
• A statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner
• Your physical or electronic signature

Counter-Notice: If you believe your content was removed in error, you may submit a counter-notice with your contact information, identification of the removed material, a statement under penalty of perjury that removal was a mistake, and consent to jurisdiction. We will restore material within 10-14 business days unless the complainant files a court action.

Repeat Infringer Policy: We will terminate accounts of users who are repeat infringers in appropriate circumstances.

11. Indemnification

You agree to indemnify, defend, and hold harmless Eyzaguirre.co, LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your content; (b) your use of the Service; (c) your violation of these Terms; or (d) your violation of any third party's rights or applicable law.

12. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL EYZAGUIRRE.CO, LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF $100 OR THE TOTAL AMOUNT PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Dispute Resolution

Mandatory Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall take place in Miami, Florida, or at another mutually agreed location.

Class Action Waiver: YOU AND EYZAGUIRRE.CO, LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

Small Claims Exception: Either party may bring an individual action in small claims court for disputes within that court's jurisdiction.

30-Day Opt-Out: New users may opt out of this arbitration agreement by sending written notice to [email protected] within 30 days of account creation. The notice must include your name, email address, and a clear statement that you wish to opt out.

14. Termination

We may suspend or terminate your account at any time, with or without cause, with or without notice. You may delete your account at any time through your account settings. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Indemnification, Limitation of Liability, Dispute Resolution, and Content License for previously published content) shall survive.

15. Changes & Contact

We may modify these Terms at any time. Material changes will be communicated with at least 30 days' notice via email or in-app notification. Each version is identified by a version date. Continued use of the Service after the effective date of updated Terms constitutes acceptance. If you do not agree with updated Terms, you must stop using the Service and delete your account.
